Posted Sep 27, 2016Section 1. Number of Officers. The officers of the corporation shall be President, Vice-Presidents, Secretary, High School compliance officer, District compliance officer and Treasurer.
President. The President shall be the chief executive officer and shall preside at all meetings of the BOD. This is a Membership elected Board positions.
Vice President. The Vice President shall perform the duties of the President in the absence of the President and shall assist that office in the discharge of its leadership duties. This is a Membership elected Board positions.
Secretary. The Secretary shall give notice of all meetings of the BODs and Executive Committee, shall keep an accurate list of the BOD, and shall have the authority to certify any records, or copies of records, as the official records of the organization. The Secretary shall maintain the minutes of the Board meetings and all committee meetings. This is a Membership elected Board positions.
Treasurer. The Treasurer shall be responsible for conducting the financial affairs of the organization as directed and authorized by the BOD, and shall make reports of corporate finances as required, but no less often than at each meeting of the BOD’s. This is a Membership elected Board positions.
High School Compliance Officer. High School Compliance Officer will make sure that the BOD’s are following the by-laws, and will address any issues where community leagues in any chapter are not following any rules setup by the IYA, the compliance officer can appoint a compliance committee if needed. This board position will be a permanent non-elected spot that the High School appoints.
District Compliance Officer. District Compliance officer will make sure that the BOD’s are following the by-laws, and will address any issues where community leagues in any chapter are not following any rules setup by the IYA, the compliance officer can appoint a compliance committee if needed. This board position will be a permanent non-elected spot that the District appoints.
Section 2. Term of Office. The officers shall be elected annual basis by the BOD at the first meeting of the BOD’s if the term of the officer is expiring. Each BOD shall serve a two-year term or until a successor has been qualified and elected. Each member elected BOD will be voted on by the current members before placement BOD will be require to approve the vote to make it official. The District and High School Compliance Officers will be permanent positions but will only serve 2 year terms.
